In addition, it reduces the cost of investment, which increases the attractiveness of the company.
In this, this presentation based on the postulate of the rationality of companies and investors, compliance programs can fall under self-regulation. The duplication of the law that they operate takes place largely according to "procedural" type methods.

Compliance and Regulation Law bilingual Dictionnary
Competition is the law of the market. It allows the emergence of the exact price, which is often referred to as "fair price". It means and requires that agents on the market are both mobile, that is to say free to exercise their will, and atomized, that is to say, not grouped together. This is true for those who offer a good or service, the offerers, as well as for those seeking to acquire them, the applicants: the bidders seek to attract the applicants so that they buy them the goods and services that they propose. Bidders are in competition with each other.
In the competitive market, buyers are indulging in their natural infidelity: even if they have previously bought a product from an A supplier, they will be able to turn away from him in favor of a B supplier if the latter offers them a product more attractive in terms of quality or price. Price is the main signal and information provided by the suppliers on the market to excite this competitive mobility of the offerers. Thus, free competition accelerates market liquidity, the circulation of goods and services, raises the quality of products and services and lowers prices. It is therefore a moral and virtuous system, as Adam Smith wanted, a system which is the fruits of individual vices. That is why everything that will inject "viscosity" into the system will be countered by Competition Law as "non-virtuous": not only frontal coordination on prices but for example, exclusivity clauses, agreements by which companies delay their entry on the market or intellectual property rights which confer on the patentee a monopoly.
Admittedly, Competition Law can not be reduced to a presentation of such simplicity, since it admits economic organizations which deviate from this basic model, for example distribution networks or patent mechanisms on which, inter alia, is built the pharmaceutical sector. But the impact is probative: in the sphere of Competition Law, if one is in a pattern that is not part of the fundamental figure of the free confrontation of supply and demand, he has to demonstrate the legitimacy and efficiency of its organization, which is a heavy burden on the firm or the State concerned.
Thus, in the field of Regulation, if regulatory mechanis were to be regarded as an exception to competition, an exception admitted by the competition authorities, but which should be constantly demonstrated before them by its legitimacy and effectiveness in the light of the "competitive order", then public organizations and operators in regulated sectors would always face a heavy burden of proof. This is what the competition authorities consider.
But if we consider that regulated sectors have a completely different logic from competitive logic, both from an economic and a legal point of view, the Law of Regulation refers in particular to the notion of public service and having its own institutions, which are the regulatory authorities, then certain behaviors, in particular monopolies, are not illegitimate in themselves and do not have to justify themselves in relation to the competitive model, for they are not the exception ( Such as the public education or health service).

► Summary of this Working Paper: The innocent might believe, taking the Law and its words literally, that commitments are binding on those who make them. Otherwise, everyone would fall into the trap of the "false friend", which is what the Law wants to protect him from (which is set out in the prolegomena). So those who make commitments do what they say they will do. And yet, strangely enough, 'commitments', which are so frequent in Compliance Behaviour, are often considered by those who adopt them to have no binding value! No doubt because they fall within disciplines other than Law, such as the art of Management or Ethics. But then one wonders why they have become so important in Compliance mechanisms. (I).
If commitment is central to Compliance, particularly Vigilance, it is because Compliance Law is an extension of Regulatory Law📎!footnote-3439. The company is forcibly instituted by the Compliance supervisory Regulator, particularly in value chains Regulation, or on digital spaces (DSA). In drawing up a vigilance plan, the company is fulfilling its legal obligation. But if we were to consider that it is a commitment, then we would also have to consider that the plan is the result of its will, that it must consult the stakeholders in drawing it up, but that the source of the plan is its will: the provisions are not stipulations, are not applications of the law, but unilateral voluntary provisions, which do not constitute a unilateral legal act but a management act and a behaviour which forms part of the corporate general policy. As such, and because its source is the will of the company (which does not prevent it from being co-constructed), a group plan or policy could contain an effective "graduated offer" of arbitration.
This shows that the Commitments are not just management and ethical mechanisms, but also a matter of Law.
Firstly, the Commitments made by companies appear to have a strong and indisputable binding effect when they take the form of Contracts (II). Companies make commitments either to fulfill their legal Compliance obligations, in which case they are simply obeying the law, or to express their own wishes, either for themselves or for others. The cases are often confused, even though the scope is not the same. If the Commitment takes the form of a contract, Compliance is concerned if the contract is used as a Compliance Tool Ex Ante📎!footnote-3436, either if the entire contract has this goal, or if a compliance clause is inserted, and an arbitration clause may be linked to it.
Secondly, Commitments, as words or conduct, constitute facts that enter the legal order through the consideration given to them by a public Authority. This unilateral administrative decision may be the decision of the Competition Authority or the judicial validation of the CJIP (II). This is a perfect illustration of the link between Regulatory Law and Compliance Law, because it is not the commitment that creates the Obligation but the public act that takes it into consideration and inscribes it so that it modifies the future in accordance with the mission of the legitimate Public Authority. In fact, the commitment, a concept that comes more from the Economics of Regulation, was conceived between a Regulatory Authority and a company: it is the unilateral decision of the Authority that gives legal force to the commitment. Case law confirms this (French Conseil d'Etat📎!footnote-3437 and French Conseil constitutionnel📎!footnote-3438).
Finally, Commitments can be significant in that they constitute facts, creating a de facto situation. In this respect, as commitments are a form of conduct like any other, they may give rise to liability on the part of corporate if the person claiming to be the victim is able to show that there has been negligence or fault, for example if there are inconsistencies or lies, and that this has caused them damage (III).

► General presentation of this book: Compliance is sometimes presented as an inescapable mechanism , which is tantamount to seeing it as the legal Obligation par excellence, Criminal Law being its most appropriate mode of expression. But this is not so obvious. Moreover, it is becoming difficult to unify all Compliance Tools, which encompass moral representations of the world, and even cultures specific to each company, so that Law can only produce incentives or produce soft law. As a result, Compliance Obligation appears as very difficult to define.
These hesitations reflect the youth of this Compliance Law under construction. Identified through juxtaposed special laws, for each of which specialists have come forward, it is nonetheless taking shape with its own normativity, anchored in its Monumental Goals. Because the notion of Obligation is as old as Law itself, the Obligation of Compliance is confronted with all the branches of Law, and more particularly, with all due respect, with Contract and Tort Law.
But Compliance has long been a practice, effectiveness, efficacy and efficiency being among its principles. How can all these ambitious declarations be put into effect? Is there not a hint of a gap between the grandiloquence of this declared Compliance Obligation and what actually happens? The practical question of how to compel is, in this new branch of Law, a question of law.
In order to have a more accurate perception of the Obligation of Compliance and therefore to better measure its future, it is advisable to end up taking its Advanced Point, which is the Obligation of Vigilance, clearer and stronger than the other instruments, having Monumental Goals, placing the Judge more clearly at the centre, developing in an already more visible way the power of this Obligation of Compliance which abstracts itself as necessary from borders and claims to express sovereignties.

🏗️general construction of this Book: The book opens with a double Introduction. The first, which is freely accessible, consists of a summary of the book, while the second, which is substantial, deals with the unified conception that we can, and indeed should, have, of the "Compliance Obligation", without losing the concrete and active character that characterises this branch of law.
The first Part of the book aims to define the Compliance Obligation. To this end, Chapter I deals with the Nature of this obligation. Chapter II deals with the Spaces of the Compliance Obligation.
The Part II aims to articulate the Compliance Obligation with other branches of Law.
The Part III of the book looks at the way in which the possibility of obliging and the means of obliging are provided. To this end, Chapter I deals with the Convergence of the Sources of the Compliance Obligation. Chapter II considers International Arbitration as a reinforcement of the Compliance Obligation. To this end, Chapter I deals with the Convergence of the Sources of the Compliance Obligation. Chapter II considers International Arbitration as a reinforcement of the Compliance Obligation.
The last Part of the book is devoted to Vigilance, the leading edge of the Compliance Obligation. Chapter I is devoted to a study of the various sectors, and analyses the Intensities of the Vigilance Obligation. Chapter II deals with the Variations in Tension generated by the Vigilance Obligation. Finally, Chapter III deals with the New Modalities of the Compliance Obligation, highlighted by the Vigilance Imperative.

► English Summary of this article: Systemic Litigation is a specific category of Litigation in which beyond the dispute between the parties the interest of a System is involved, in particular its future. Competition Law is a natural and long-standing field for this category, which is now emerging strongly for information, climate and energy systems.
It should be remembered that a market is not self-regulating and cannot continue to function in the long term unless it has the benefit of a judge, a figure who is specific in that he/she is both external to it and yet apprehends its specific interest. In order to satisfy this double requirement, liberal legal organisations often entrust the competition authority with jurisdiction over this Systemic Litigation. Ordinary courts will also hear such cases, either on appeal or in other proceedings, and it cannot be claimed that courts are excluded, the systemic dimension of the dispute being expressed by the presence of the competition authority in the proceedings. This explains the procedural rules that are hard to justify otherwise.
The Authority, the European Commission for example, must be able to develop and express the specific interests of the competition system. This special role of the competition authority in this type of litigation, because it is systemic, has been in place for decades and should serve as a model for Systemic Litigation, which is being developed for other systems whose sustainability is now referred to the courts.

► English Summary of the article: The study focuses on the various movements that have given rise to Compliance Law, with particular emphasis on Competition Law.
After a preliminary reflection on the construction of the legal system into branches of Law, their classification in relation to each other, the difficulty encountered in this respect by Economic Law, and the various movements that give rise to one of them, the diversity of which the branch subsequently keeps track of, the study is constructed in 4 parts.
To find out what gave rise to Compliance Law, the first part invites everyone to reject the narrow perspective of a definition that is content to define it by the fact of "complying" with the applicable regulations in the sens to obey them automatically. This has the effect of increasing the effectiveness of the regulations, but it does not produce a branch of Law, being only an efficiency tool like any other.
The second part of the study aims to shed light on what appears to be an "enigma", because it is often claimed that this is the result of a flexible method through the "soft law", or of an American regulation (for instance FCPA), or of as many regulations as there are occasions to make. Instead, it appears that in the United States, in the aftermath of the 1929 crisis, it was a question of establishing an authority and rules to prevent another atrocious collapse of the system, while in Europe, in 1978, in memory of the use of files about Jews, it was a question of establishing an authority and rules to prevent an atrocious attack on human rights. A common element that aims for the future ("never again"), but not the same object of preventive rejection. This difference between the two births explains the uniqueness and diversity of the two Compliance Law, the tensions that can exist between the two, and the impossibility of obtaining a global Compliance Law.
The third part analyses the way in which Competition Law has given rise to conformity mechanisms: they had only constituted a secondary branch which is a guarantee of conformity with competition regulations. Developed in particular through the soft law issued by the competition authorities, the result is a kind of "soft obedience", a well-understood collaboration of a procedural type through which the company educates, monitors and even sanctions, without going outside Competition Law, of which compliance (in the sens of conformity) is the appendix. The distance between a conformity culture and Compliance Law can be measured here.
The fourth part aims to show that Competition Law and Compliance Law are two autonomous and articulated branches of Law. Since Compliance Law is a autonomous and strong branch of Law built around Monumental Goals, in particular the sustainability of systems and the preservation of the human beings involved so that they are not crushed by these systems but benefit from them : the current challenge of European integration is to build the pillar of Compliance Law alongside the competitive pillar. Jurisdictions are in the process of doing this and articulating them.

Comme avocat, aux côtés de son frère Joseph, il fonde un cabinet spécialisé en droit de la concurrence, qui conseille les plus grands noms du secteur de l’automobile, de l’audiovisuel, de la distribution… et qui, dans de nombreuses affaires, fait évoluer la jurisprudence. Toujours ouvert aux nouveautés, Louis Vogel travaille, en parallèle, sur l’application de l’intelligence artificielle au droit.
En politique, comme maire et président de l’agglomération de Melun puis, plus récemment, comme sénateur, il poursuit son action au service de la collectivité et, après, en tant que professeur, avoir enseigné le droit et, en tant qu’avocat, l’avoir appliqué, désormais, en tant que sénateur, il le crée.

► general presentation of the book: Compliance is sometimes presented as something that cannot be avoided, which is tantamount to seeing it as the legal obligation par excellence, Criminal Law being its most appropriate mode of expression. However, this is not so evident. Moreover, it is becoming difficult to find a unity to the set of compliance tools, encompassing what refers to a moral representation of the world, or even to the cultures specific to each company, Compliance Law only having to produce incentives or translate this ethical movement. The obligation of compliance is therefore difficult to define.
This difficulty to define affecting the obligation of compliance reflects the uncertainty that still affects Compliance Law in which this obligation develops. Indeed, if we were to limit this branch of law to the obligation to "be conform" with the applicable regulations, the obligation would then be located more in these "regulations", the classical branches of Law which are Contract Law and Tort Law organising "Obligations" paradoxically remaining distant from it. In practice, however, it is on the one hand Liability actions that give life to legal requirements, while companies make themselves responsible through commitments, often unilateral, while contracts multiply, the articulation between legal requirements and corporate and contractual organisations ultimately creating a new way of "governing" not only companies but also what is external to them, so that the Monumental Goals, that Compliance Law substantially aims at, are achieved.
The various Compliance Tools illustrate this spectrum of the Compliance Obligation which varies in its intensity and takes many forms, either as an extension of the classic legal instruments, as in the field of information, or in a more novel way through specific instruments, such as whistleblowing or vigilance. The contract, in that it is by nature an Ex-Ante instrument and not very constrained by borders, can then appear as a natural instrument in the compliance system, as is the Judge who is the guarantor of the proper execution of Contract and Tort laws. The relationship between companies, stakeholders and political authorities is thus renewed.

The book opens with a double Introduction. The first, which is freely accessible, is a summary of the book, while the second, which is substantial, deals with the future development of the compliance obligation in a borderless economic system.
The first part is devoted to the definition of the Compliance Obligation.
The second part presents commitments and contracts, in certain new or classic categories, in particular public contracts, and compliance stipulations, analysed and qualified regarding Compliance Law and the various relevant branches of Law.
The third part develops the responsibilities attached to the compliance obligation.
The fourth part refers to the institutions that are responsible for the effectiveness, efficiency, and efficacy of the compliance obligation, including the judge and the international arbitrator.

Thank to the organizers of the conference held in French on competition and compliance, notably about the risk mapping, on 24 May 2024, at the Centre de droit européen - Université Paris-Panthéon-Assas, with the support of Larcier-Intersentia, for asking me to give the concluding lecture.
Thanks to the very high quality of the speakers, Fabrice Picod, Frederic Puel, Pierre de Gouville, Gaëlle Hardy, Alix Voglimacci, Marie-Pascale Heusse and Christophe Corlouer, I was able to draw some conclusions, in particular from the concrete experiences of the risk mapping methods chosen and experienced by firms.

► Summary of this concluding conference:The conference was based on the 'framework document' on conformity programmes published by the French Competition Authority, the Autorité de la concurrence, on 24 May 2022 and focused on one of the tools used, namely risk mapping. The care taken to bring together academics whose job it is to give an account of reality by classifying and naming it, which makes it easier to handle, and people who every day in enterprises find solutions to anticipate difficulties so that they can be resolved, or even prevented from arising, has borne fruit.

From all the presentations and discussions, 4 perspectives emerge, each showing what has been achieved, what may still emerge in interaction with all the other mechanisms in Compliance Law that incorporate risk mapping (for instance ,the French 2016 so-called "Sapin 2" law, the French 2017 so-called "Vigilance" law, the CS3D European directive, etc.) and the other mechanisms that are correlated with risk mapping (audit, internal investigations, evidence likely to be raised before a judge by the enterprise and/or by a stakeholder and what remains uncertain in this 2022 framework document.

The first perspective is the basis of these recommendations, encouragement, methods, advice, etc.
The second perspective is the means developed to establish and implement these compliance programmes.
The third perspective is the scope of this framework document, which also depends to a large extent on the scope of the compliance programmes adopted by the firms themselves.
The fourth perspective is that of the subjects of law who are obliged, or who benefit from the adoption of such compliance programmes in Competition Law.

During this conclusion, based solely on what each speaker had to say, I continued my reflections in each of these 4 directions.

► English Summary of this article: Following the legal tradition, Law creates a link between power with a legitimate source, the State, public power being its prerogative, while private companies exercise their power only in the shadow of this public power exercised ex ante. The triviality of Economic Law, of which Competition Law is at the heart, consisting of the activity of companies that use their power on markets, relegates the action of the State to the rank of an exception, admissible if the State, which claims to exercise this contrary power, justifies it. The distribution of roles is thus reversed, in that the places are exchanged, but the model of opposition is shared. This model of opposition exhausts the forces of the organisations, which are relegated to being the exception. However, if we want to achieve great ambitions, for example to give concrete reality to human rights beyond the legal system within which the public authorities exercise their normative powers, we must rely on a new branch of Law, remarkable for its pragmatism and the scope of the ambitions, including humanist ambitions, that it embodies: Compliance Law.
Compliance Law is thus the branch of Law which makes the concern for others, concretised by human rights, borne by the entities in a position to satisfy it, that is to say the systemic entities, of which the large companies are the direct subjects of law (I). The result is a new division between Public Authorities, legitimate to formulate the Monumental Goal of protecting human beings, and private organisations, which adjust to this according to the type of human rights and the means put in place to preserve them. Corporations are sought after because they are powerful, in that they are in a position to make human rights a reality, in their indifference to territory, in the centralisation of Information, technologies and economic, human, and financial means. This alliance is essential to ensure that the system does not lead to a transfer of political choices from Public Authorities to private companies; this alliance leads to systemic efficiency. The result is a new definition of sovereignty as we see it taking shape in the digital space, which is not a particular sector since it is the world that has been digitalised, the climate issue justifying the same new distribution of roles (II).
